AFFIDAVIT OF M. SCOTT GALLOWAY

1. I am the Director, Trade Development for the Vancouver Port Authority (the "VPA") and as such have knowledge of the matters hereinafter deposed to, except where stated to be on information and belief, in which case I believe them to be true.

2. I have been an employee of the VPA for over 10 years. My main focus over those years has been marketing the Port of Vancouver's services.

3. The VPA is a port authority constituted by letters patent effective March 1, 1999 (the "letters patent") made pursuant to the Canada Marine Act, S.C. 1998, c. 10 (the "Marine Act").

2 4. I attach hereto as Exhibit "A" a copy of an excerpt of the letters patent of the VPA.

5. Under the Marine Act and the letters patent, the VPA has extensive authority to operate all aspects of the Port of Vancouver (the "Port") and to charge fair and reasonable fees for its services. The Marine Act requires that the VPA be financially self-sufficient.

6. The VPA has the goals of, inter alia: (a) making the Port the port of choice on the west coast of North America; and

(b) facilitating and expanding the movement of cargo and passengers through the Port in the best interests of Canadians

(the "Port's Strategy"). 7. The Port is comprised of 25 major marine terminals that provide a full range of facilities and services to the international shipping community. The majority of the terminals are located on Burrard Inlet, near the City of Vancouver.

8. The Port has 17 terminals for bulk cargoes. Bulk cargoes account for approximately 75% of the Port's annual throughput.

9. The Port's typical bulk cargoes are coal, sulphur, potash, grain, petrochemicals, petroleum products, concentrates and woodchips.

10. Grain is delivered to the Port's bulk cargo terminals by train. Both Canadian National ("CN") and Canadian Pacific Railway ("CPR") handle bulk grain.

11. Grain is delivered to the Saskatchewan Wheat Pool ("SWP") and James Richardson International Limited ("JRIL") export grain terminals in both CN and CPR rail cars.

12. SWP and JRIL lease adjacent properties from VPA on the north shore of Burrard Inlet for their export grain terminals.

13. Although VPA has not had an opportunity to review the response of SWP and JRIL to the Notice of Application, because their response have not yet been filed, SWP and JRIL have indicated to VPA that their proposed joint venture would result in a more efficient operations within the Port. Specifically, SWP and JRIL have suggested that their proposed joint venture will lead to a more efficient use of rail lines and rail cars and will reduce the amount of time that ships loading bulk grain for export will be required to wait for a berth in and then be berthed in the Port.

If the Tribunal allows the SWP and JRIL joint venture to proceed and if, as suggested to VP A by SWP and JRIL, the proposed joint venture results in improved rail line efficiency and shortened ship moorages prior to berthing, the Port will be directly positively affected as these improved efficiencies would generally provide a more reliable and efficient supply of grain and loading of ships with grain which would, in tum, allow all users of the Port to benefit, and specifically for the following reasons:

(a) the Port's competitiveness in handling bulk grain exports will likely increase;

(b) the reliability of bulk grain export will likely increase, i.e., it will be less likely that there will be fluctuations in the flow of grain through the Port;

(c) the Port has a limited number of moorage space for ships to wait before being able to obtain a berth in the Port and an increase in efficiency at the Port will likely have the effect of reducing the time grain and other ships spend in moorage or possibly freeing up those moorage spaces;

(d) the number of berths used by ships loading export grain might be reduced, and their total time in the Port may be reduced;

(e) if the total time in Port is reduced, the amount of time the ships will have to wait for a berth may also be reduced and if so, this may allow other commodity ships improved access to the Port as well;

(f) increased export grain volume may likely follow with no additional use of VP A managed lands; and

(g) more efficient use of rail lines and turnaround of rail cars will lead to a more efficient rail operation within the Port, which will directly improve operating effectiveness of other terminal operators on the north shore of the Port, and that benefit will likely be felt throughout the Port.

15. If the Tribunal does not allow the SWP and JRIL joint venture to proceed, the Port will be directly affected both because the above possible benefits will be much less likely to accrue to the Port, but also for the following reasons:

(a) it will make it increasingly difficult for the VPA to achieve its Port's Strategy because VP A may not be able to achieve increased efficiency and productivity from its existing assets;

(b) commodity supply chains may increase their interference with each other, rendering the Port less efficient; and

(c) excessive waiting time for ship waiting to load at the Port (whether waiting to load export grain or some other bulk cargo or other export

4 commodity) will likely result in a negative effect on the Port's growing trade because shipping lines have other port options on the west coast of North America which may be able to handle their traffic in a more cost effective, efficient and reliable manner.

16. When the issues are defined between the parties to this application, VPA expects that it will be able to provide specific evidence and submissions on the effect that the proposed joint venture will have on the overall competitiveness of both the Respondents and the VPA, and through VPA, on the whole of the Port's economy.

AND WHEREAS the Canada Marine Act received Royal Assent on the 11th day of June, 1998 and comes into force with respect to the Vancouver Port Authority on the 1st day of March, 1999;

NOW KNOW YOU that under the authority of the Canada Ma- rine Act, by these letters patent, the Vancouver Port Authority is automatically continued as a port authority under the Act as follows: ARTICLE 1 EFFECTIVE DATE, DEFINITIONS AND INTERPRETATION 1.1 Effective Date. These Letters Patent take effect on the 1st day ofMarch, 1999. 1.2 Definitions. In these Letters Patent, unless the context oth- erwise requires, tenns used herein shall have the meaning as- cribed to such terms in the Act and in addition: "Act" means the Canada Marine Act as amended from time to time; (Loi) "Appointing Body" means, in relation to a director, the body, entity or authority appointing such director; (orga- nisme de nomination) "Authority" means the port authority continued by the Letters Patent; (administration) "Board" means the board of directors of the Authority; (conseil) "Borrowing" has the meaning ascribed to such term in section 9.3; (emprunt) "Capital Investment" means in relation to a Subsidiary, an amount equal to the aggregate of the aggregate potential liability of the Authority pursuant to the terms of a Permitted Indemnity or Guarantee and any contribution of cash or property made by the Authority to such Subsidiary whether by way of outstanding shareholder loan, subscription for shares, gift or otherwise, other than contributions by the Authority to the Subsidiary by way of a lease or licence of property held or administered by the Authority for fair market value; (capital engage) "Capitalized Lease Liabilities" means all monetary obligations of the Authority under any leasing or similar arrangements which, in accordance with GAAP, would be classified as capitalized leases and the amount of such obligations for the purposes of calculating Borrowing shall be the capitalized amount thereof, determined in accordance with GAAP; (passif de contrat de location-acquisition) "classes of users" means the classes of users for the purposes of subparagraph 8(2)(/)(iv) of the Act which are described in the annexed Schedule D; (categories d'utilisateurs)

4 Supplement to the Canada Gazelle, Vancouver Port Authority "Code of Conduct" means the code of conduct governing the conduct of directors and officers set forth in the annexed Schedule F; (code de deontologie) "Contingent Liability" means any agreement, undertaking or arrangement by which the Authority guarantees, endorses or otherwise becomes or is contingently liable upon (by direct or indirect agreement, contingent or otherwise, to provide funds for payment, to supply funds to, or otherwise to invest in, a debtor, or otherwise to assure a creditor against loss) the indebtedness, obligation or any other liability of any other person or entity (other than by endorsements of instruments in the course of collection), or guarantees the payment of dividends or other distributions. Le 27 fevrier 1999 Supplement a la Gazette du Canada, Administration portuaire de Vancouver "Sufficient Return" means monies paid to the Authority in a Fiscal Year by a Subsidiary in which the Authority has made a Capital Investment in an amount no less than the annual yield which would have been received by the Authority had it invested an amount equal to the Capital Investment, less the amount of the aggregate potential liability of the Authority pursuant to the terms of any Permitted Indemnity or Guarantee, if any, comprised in such Capital Investment, in non-callable Government of Canada bonds, issued at par, in Canada on the closest issue date to the date upon which the Capital Investment was made by the Authority and maturing ten years from the date of issue; (rendement su.ffisant) "User Director" means a director to be appointed pursuant to subsection 4.6(e). 1.3 Conflicts with Act or Regulation. If there is any conflict between the Letters Patent and the Act or Regulations, the Act or Regulations shall prevail. 1.4 Conflicts with By-laws. If there is any conflict between the Letters Patent and the by-laws of the Authority, the Letters Patent shall prevail. ARTICLE2 DESCRIPTION OF AUTHORITY 2.1 Name of Authority. The corporate name of the Authority is the Vancouver Port Authority. , 2.2 Registered Office of Authority. The registered office of the Authority is located at 1900-200 Granville Street, Vancouver, British Columbia V6C 2P9. ARTICLE3 DESCRIPTIONS OF NAVIGABLE WATERS AND PROPERTY 3.1 Description of Navigable Waters. The description of the navigable waters that are within the jurisdiction of the Authority is set out in Schedule A hereto.

3.2 Description of Federal Real Property. The federal real property that is managed by the Authority is described in Sched- ule B hereto. 3.3 Description of Other Federal Real Property. The real prop- erty other than federal real property occupied or held by the Authority is described in Schedule C hereto. 3.4 Estoppel Respecting Property Descriptions. The descrip- tions of federal real property, real property other than federal real property and navigable waters referred to in this Article shall not be interpreted as a representation, warranty or admission and shall not operate as an estoppel by or against any person in respect of title, including aboriginal title, to such property.

ARTICLE4 DIRECTORS AND DIRECTORS' MEETINGS 4.1 General Duties of the Board. The Board is responsible for the management of the activities of the Authority. 4.2 Qualifications of Directors. The following individuals may not be directors:

Les immeubles autres que Jes immeubles federaux qu'occupe ou que detient !'adminis-tration decrits a !'annexe c. 3.4 Preclusion concernant Jes descriptions des biens. Les des­criptions des immeubles federaux, des immeubles autres que Jes immeubles federaux et des eaux navigables mentionnees au pre­sent article ne doivent pas etre interpretees comme une represen­tation, une garantie ou une admission et ne doivent pas servir de preclusion par ou contre une personne relativement au titre de propriete, y compris un titre autochtone.

ARTICLE4 ADMINISTRATEURS ET REUNIONS DU CONSEIL 4.1 Pouvoirs generaux du conseiL Le conseil est charge de la gestion des activites de !'administration. 4.2 Exclusions. Les personnes suivantes ne peuvent etre adminis­trateurs :

6 Supplement to the Canada Gazette, Vancouver Port Authority (a) an individual who is a mayor, councillor, officer or em- ployee of one of the municipalities described in subsec- tion 4.6(b) below; (b) an individual who is a member of the legislature of the provinces of British Columbia, Alberta, Saskatchewan or Manitoba, or an officer or employee of the public service or of a Crown corporation of one of those provinces; (c) a Senator or a member of Parliament or an officer or employee of the federal public service or of a federal Crown corporation; (d) an individual who is not a resident Canadian, as defined in subsection 2(1) of the Canada Business Corporations Act; (e) an individual who is a director, officer or employee of a person who is a user of the port; (/) an individual who is under 18 years of age; (g) an individual who has been declared mentally incompe- tent by a court in Canada or elsewhere; or (h) an undischarged bankrupt. 4.3 Number of Directors. The Board shall consist of nine directors. 4.4 Quorum for Meeting of Directors. The quorum necessary for the transaction of business at a meeting of the Board shall be a majority of the number of directors in office of which the Authority has actual knowledge of their appointment. A quorum of directors may exercise all powers of the Board.

4.5 Effective Date of Appointment. The appointment of a direc- tor shall be effected in such manner and at such time as the Ap- pointing Body considers appropriate. 4.6 Appointment of Directors. The directors of the Authority shall be appointed to hold office as follows: (a) the Governor in Council appoints one individual nominated by the Minister; (b) the municipalities of Vancouver, Burnaby, the District of North Vancouver, the City of North Vancouver, Port Moody, Delta, West Vancouver and Belcarra appoint one individual; (c) the province of British Columbia appoints one individual; (d) the provinces of Alberta, Saskatchewan and Manitoba appoint one individual; and (e) the Governor in Council appoints the five remaining individuals nominated by the Minister in consultation with the users selected by the Minister or the classes of users. 4.7 Terms of Directors. The term of each director shall be three years; provided, however, that: (a) the initial term of the nominee of the province of British Columbia made pursuant to subsection 4.6(c) shall be for a period of two years; (b) the initial term of the nominee of the provinces of Alberta, Saskatchewan and Manitoba made pursuant to subsection 4.6(d) shall be for a period of one year; and (c) the initial term of four of the remaining individuals nominated by the Minister and appointed by the Governor in Council pursuant to subsection 4.6(e) shall be: (i) for two of the nominees, a period of one year; and (ii) for two of the nominees, a period of two years.

February 27, 1999 a) Jes maires, conseillers, dirigeants et employes de l'une des municipalites mentionnees al 'alinea 4.6b); b) !es deputes de la legislature des provinces de la Colombie-Britannique, d' Alberta, de la Saskatchewan ou du Manitoba, et les dirigeants et employes de !'administration publique provinciale ou d'une societe d'Etat provinciale; c) les senateurs et !es deputes federaux, et Jes dirigeants et employes de !'administration publique federate ou d'une societe d'Etat federale; d) les personnes qui ne sont pas residents canadiens au sens du paragraphe 2(1) de la Loi canadienne sur /es societes par actions; e) !es administrateurs, dirigeants et employes d'un utilisa-teur du port; j) !es personnes iigees de moins de dix-huit ans; g) !es personnes atteintes d'une deficience mentale qui ont ete reconnues comme telles par un tribunal meme etranger; h) !es faillis non liberes. 4.3 Nombre d'administrateurs. Le conseil comprend neuf administrateurs. 4.4 Quorum. La majorite des administrateurs en fonction dont la nomination est communiquee a !'administration constitue le quo­rum; lorsque celui-ci est atteint, les administrateurs peuvent exer-cer leurs fonctions.

4.5 Date de prise d'effet de la nomination. La nomination d'un administrateur s'effectue de la maniere et au moment juges ap­propries par l'organisme de nomination. 4.6 Nomination des administrateurs. Les administrateurs sont nommes en conformite avec les regles suivantes : a) le gouverneur en conseil nomme un administrateur dont la nomination est proposee par le ministre; b) les municipalites de Vancouver, de Burnaby, du District of North Vancouver, de la City of North Vancouver, de Port Moody, de Delta, de West Vancouver et de Belcarra nomment un administrateur; c) la province de la Colombie-Britannique nomme un administrateur; d) les provinces d'Alberta, de la Saskatchewan et du Manitoba nomment un administrateur; e) le gouverneur en conseil nomme !es autres candidats dont la nomination est proposee par le ministre en consultation avec les utilisateurs qu'il choisit ou !es categories d 'utilisateurs. 4.7 Mandat. 4.8 Renewal Term. The term of a director may be renewed once only but no person is eligible to be appointed as a director within 12 months after the expiration of their term or renewed term. 4.9 Ceasing to Hold Office. A director shall cease to hold office when: (a) the director dies or resigns; (b) the director is removed for cause pursuant to the provisions of paragraph 19(l)(b) of the Act; (c) the director is no longer qualified to hold the office of director under section 4.2; or (d ) the term of office of the director expires.

4.10 Resignation of Directors. A director may resign his or her office as a director by sending to the Authority a written resigna- tion which shall become effective on the date received by the Authority or on the date specified in the resignation, whichever is later.

4.11 Removal of Directors. Any director may be removed for cause at any time pursuant to the provisions of paragraph 19(1)(b) of the Act. 4.12 Remuneration of Directors and Chief Executive Officer. The Board shall fix the remuneration of the directors, chairperson and the chief executive officer of the Authority. 4.13 Chairperson of the Board. The Board shall elect a chair- person from among their number. 4.14 Appointment of Officers. The Board shall appoint a chief executive officer, who shall not be a director, and such other offi- cers that the Board considers appropriate. 4.15 Committees of the Board. The Board may appoint from their number one or more committees of the Board, however designated, and delegate to any such committee any of the powers of the Board except the Board shall not delegate to any committee the power to: (a) fill a vacancy in the office of the auditor of the Authority; (b) issue debt obligations except in the manner and on the terms authorized by the Board; (c) approve the audited financial statements of the Authority; (d) adopt, amend or repeal by-laws; or (e) authorize or ratify any activity carried on or to be carried on or any power exercised or to be exercised by, a Subsidiary. 4.16 Appointment of Governance Committee. The Board shall appoint from their number a committee (the "Governance Committee") comprised of not less than three directors. 4.17 Mandate of the Governance Committee. The Governance Committee shall perform the following functions: (a) manage the administration of the Code of Conduct; (b) develop and annually update a long-term plan, including recommendations to the Board, for the composition of the Board, in terms of the optimal combination of skills, background or experience, which plan shall take into consideration the skills, background and experience of existing directors, retirement dates and the strategic direction of the Authority;

4.8 Renouvellement. 4.10 Demission. Un administrateur peut demissionner de son poste en envoyant a l'administration une lettre de demission qui prend effet a )a date a laquelle J'administration Ja re~oit OU, Je cas echtiant, a la date posterieure qui y est indiquee.

4.11 Revocation. Le mandat d'un administrateur peut etre revo­que pour motifvalable conformement aux dispositions de l'alinea 19(1 )b) de la Loi. 4.12 Remuneration des administrateurs et du premier diri-geant. Le conseil fixe la remuneration des administrateurs, du president et du premier dirigeant de !'administration. 4.13 President du Conseil. Le conseil elit, parmi Jes administra-teurs, le president du conseil. 4.14 Nomination des dirigeants. Le conseil est tenu de nommer le premier dirigeant, qui n'est pas un administrateur, et Jes autres dirigeants, selon qu'il estime indique. 4.15 Comites du conseil. Le conseil peut nommer, parmi Jes administrateurs, un ou plusieurs comites du conseil, quels qu'ils soient, et leur deleguer ses pouvoirs, a !'exception des pouvoirs suivants: a) combler une vacance au poste de verificateur de l' administration; b) emettre des titres de creances, sauf dans Jes cas et de la fa~on autorises par le conseil; c) approuver Jes etats financiers verifies de I' administration; d) adopter, modifier OU revoquer }es reglements administratifs; e) autoriser ou ratifier toute activite exercee ou devant etre exercee OU tout pOUVOir exerce OU devant etre exerce par une filiale. 4.16 Creation du comite de regle. Le conseil nomme, parmi les administrateurs, au moins trois membres d'un comite (ci-apres le « comite de regie »). 4.17 Mandat du comite de regie. Le comite de regie s'acquitte des fonctions suivantes : a) administrer le code de deontologie; b) elaborer et mettre a jour chaque annee un plan a long terme, y compris des recommandations au conseil, en matiere de composition du conseil, soit la combinaison optimale de competences et d'experience; ce plan prendra en consideration Jes competences et !'expe-rience des administrateurs en fonction, la date d'expi-ration de leur mandat et !'orientation strategique de l 'administration;

8 Supplement to the Canada Gazette, Vancouver Port Authority (c) at least four months prior to the expiry ofthe term of office of a director appointed by the Governor in Council under subsection 4.6(a), the municipalities under subsection 4.6(b), by the provinces under subsection 4.6(c) or (d), or by the Governor in Council under subsection 4.6(e) of these Letters Patent, provide notice to PAC and to the Appointing Body, as the case may be, that the term of their appointee on the Board is about to expire and requesting an appointment; (d) provide to the PAC and to each Appointing Body the notice described in subsection 4.17(c) above, a current copy of the plan and recommendations described in subsections 4.17(b) and a profile of the skills, background and experience of the continuing directors; (e) in the event a director ceases to hold office, the Governance Committee shall forthwith provide to the Appointing Body a request for a new appointment to fill such vacancy together with a copy of the plan and recommendations described in subsection 4.17(b) and the profile described in subsection 4. l 7(d); (j) advise the Board or committee of the Board of all corporate governance issues which the Governance Committee determines ought to be considered by the Board or a committee of the Board; and (g) review and make recommendations to the Board regarding directors' compensation.

4.18 Additional Duties of Governance Committee. The Gov- ernance Committee shall also perform the following functions in connection with the process of the Minister nominating directors as contemplated in paragraph 14(l)(d) of the Act: (a) within ten days of the Governance Committee providing notice to the Minister that a vacancy exists or shall soon exist with respect to a User Director, the Governance Committee shall cause to be published a notice or advertisement in a major newspaper distributed in Vancouver (the "Public Notice") requesting users and others to submit in writing to the Port Advisory Committee candidates to be considered for appointment as directors; (b) the Public Notice shall be published at least 30 days prior to the date specified in the notice as the final date for receipt of candidate submissions; (c) the Public Notice shall require any parties submitting a candidate for consideration to state that the submitting party believes such candidate meets the qualifications for directors set forth in the Act; and (d) the Governance Committee throughout the entire selection process described in section 4.21 and until such time as the Governor in Council has made the required appointments to the Board shall make its members available to answer any questions or inquiries from the Minister regarding the background, experience or skills required at the Board level. 4.19 Members of Port Advisory Committee. The names of the initial members of the PAC are set forth in Schedule "E" attached who shall serve for a term of one year. Subsequent PAC member- ships shall total up to fourteen members. Not less than 90 days prior to the expiry of the term of the initial appointments the ini- tial PAC shall have established the manner in which, with the exception of the person to be appointed by the Board as contem- plated in section 4.20, all subsequent members of PACs will be constituted provided that the members of subsequent PACs are

4.18 Fonctions additionnelles du comite de regie. Le comite de regie s'acquitte egalement des fonctions suivantes liees au pro-cessus de nomination des administrateurs sur la proposition du ministre prevu a l'alinea 14(1)d) de la Loi: a) dans les dixjours suivant l'avis qu'envoie le comite de regie au ministre pour l'informer d'une vacance, reelle ou imminente, relativement a un administtateur repre-sentatif des utilisateurs, faire publier un avis ou une annonce dans un grand quotidien distribue a Vancouver (c i-apres « avis public ») demandant aux utilisateurs et aux autres personnes de presenter par ecrit au comite consultatif portuaire la candidature de personnes au poste d' administrateur; b) l'avis public est public au moins 30 jours avant l' echeance de la periode de mise en candidature indiquee dans l'avis; c) l'avis public doit exiger des parties presentant la candidature d'une personne de declarer qu'elles estiment que ce candidat repond aux criteres de competence des administrateurs exposes dans la Loi; d) tout au long du processus de selection expose au paragraphe 4.21 et jusqu'a la nomination des adminis­trateurs par le gouvemeur en conseil, le comite de regie doit faire en sorte que ses membres soient presents pour repondre aux questions ou demandes que pourrait poser le ministre relativement a !'experience OU aux competences d'un administrateur. 4.19 Membres du comite consultatif portuaire. With respect to all subsequent appointments, the outgoing PAC will forthwith infonn the Gov- ernance Committee of the membership of the succeeding PAC.

4.20 Port Advisory Committee. The Board shall appoint from among those of its members appointed pursuant to section 4.6(e) one member to the Port Advisory Committee to serve as a non- voting member. The members of the PAC shall select one from their number to act as Chairperson of the PAC at all meetings provided such Chairperson may not be the non-voting member of PAC appointed by the Board. 4.21 Port Advisory Committee Activities. The PAC shall estab- lish and administer a process for soliciting the names of nominees who would be suitable and qualified candidates to fill vacancies amongst the User Directors. The responsibilities of the PAC with respect to the nomination process include the following: (a) receiving all candidate submissions in response to the public notice published by the Governance Committee of the Board; (b) in a timely way soliciting candidate submissions from the Schedule "D" classes of users by making a written request for submission to the classes of users or the members of these classes of users; (c) assessing all candidate submissions taking into consideration the requirements of the Act and then- current recommendations and profile of the Governance Committee described in subsection 4.l7(b) and 4.17(d) respectively as to the skills, background and experience required of prospective directors; (d) providing to the Minister a list of those candidates which the PAC would recommend as persons to be nominated by the Minister to fill the User Director vacancies; the PAC shall use reasonable efforts to provide to the Minister a list of recommended persons numbering at least twice the number of such vacancies; and (e) making its members available to answer any questions or inquires from the Minister regarding the solicitation process, particulars of candidate submissions received, the background, experience or skills of nominees, the deliberations of the PAC or any other infonnation which the Minister requests for the purposes of the Minister providing nominations to the Governor in Council pursuant to the provisions of paragraph 14(l)(d) of the Act.

4.22 Scope of Process. Nothing in the process described in sec- tion 4.21 is intended to or shall derogate from, interfere with, or substitute for, any consultation, inquiry, public input or process the Minister chooses to undertake in determining the candidates to be nominated by the Minister pursuant to provisions of para- graph 14(l)(d) of the Act. The Minister, in consultation with users, shall at all times have the flexibility and discretion to nominate as User Directors persons other than those persons recommended by the PAC to ensure an appropriate mix of Board members at all times.

4.23 Procedure For Port Advisory Committee. For the pur- poses of conducting the activities described in section 4.21 above, the PAC members shall elect a chairperson from amongst them- selves. Meetings of the PAC may be held at any time and place and in a manner to be detennined by the Members of the PAC, provided that written notice shall be given to each member at

4.20 Comite consultatif portuaire. Les membres du CCP choisissent, parmi les membres, une personne qui agira a titre de president du CCP a toutes ses reunions, a condition qu'il ne s'agisse pas du membre nomme par le conseil. 4.21 Activites du comite consultatifportuaire. Le CCP cree et administre un processus de sollicitation de mises en candidature de personnes competentes pour combler Jes vacances de pastes d'administrateurs representatif des utilisateurs. Relativement au processus de proposition, Jes responsabilites du CCP sont Jes suivantes: a) recevoir toutes les candidatures a la suite de l'avis public publie par le comite de regie du conseil; b) en temps opportun, solliciter des mises en candidature aupres des categories d'utilisateurs figurant a !'an-nexe D en presentant une demande ecrite aux cate­gories d'utilisateurs ou aux membres de ces categories; c) evaluer toutes les candidatures en tenant compte des exigences de la Loi et des recommandations et du profil pertinents communiques par le comite de regie, selon la description figurant aux alineas 4.l 7b) et 4.l 7d) respectivement, en ce qui a trait aux competences et a !'experience que doivent posseder les candidats administrateurs; d) foumir au ministre une liste des candidats dont la nomination, sur recommandation du CPP, est proposee par le ministre pour combler Jes vacances des pastes d'administrateurs representatifs des utilisateurs; le CCP doit deployer des efforts raisonnables pour fournir au ministre une liste de candidats totalisant au mains le double du nombre de vacances; e) faire en sorte que ses membres soient disponibles pour repondre aux questions OU demandes que pourrait poser le ministre relativement au processus de sollicitation, aux details des mises en candidatures presentees, a !'experience ou aux competences d'un candidat, aux deliberations du CCP OU a toute autre infonnation que le ministre demande aux fins de la fourniture de candida-tures par le ministre au gouverneur en conseil confor­mement aux dispositions de l 'alinea 14(1 )d) de la Loi.

4.22 Portee du processus. Rien dans le processus decrit au para­graphe 4.21 ne vise a deroger, a nuire OU a Se substituer a Ja Con-sultation, a l'enquete, a Ja participation OU au proceSSUS que Je ministre choisit d'appliquer pour selectionner les candidats dont il propose la nomination conformement aux dispositions de l'alinea 14(l)d) de la Loi. En consultation avec Jes utilisateurs de !'administration, le ministre peut en tout temps, a sa discretion, proposer la nomination de personnes aux pastes d'administrateurs representatif des utilisateurs autres que celles recommandees par le CCP pour que le conseil ait une composition adequate en tout temps.

4.23 Procedure relative au comite consultatif portuaire. Aux fins de !'execution des activites decrites au paragraphe 4.21, les membres du CCP doivent elire un president parmi leurs membres. Les reunions du CCP peuvent se tenir au moment, a l'endroit et de la fa9on que decident Jes membres du CCP, a condition que l'avis ecrit de la reunion soit donne a chaque membre au moins

No error or omis- sion giving notice of any meeting of the PAC or any adjourned meeting of the PAC, provided that such error or omission is not material, shall invalidate such meeting or make void any proceed- ing taken thereof and any member thereof may at any time waive notice of such meeting and may ratify, approve or confirm any or all proceedings taken or had thereat. A majority of the serving members of the PAC shall constitute a quorum.

4.24 Secretariat. The PAC shall have an office of Secretariat comprised of the Chief Executive Officer and Secretary of the Authority who shall record the minutes of the PAC meetings and proceedings. 4.25 Duties of Directors Respecting Canada Place Corpora- tion. The directors will take all necessary measures to ensure that the directors of Canada Place Corporation are individually ap- pointed by the Authority who have been approved by the Minister

4.26 Duties of Directors Respecting Contracting. The directors shall take all necessary measures to ensure: (a) that the Authority and any Subsidiary that enters into a contract, including a contract for the borrowing of money, other than as agent of Her Majesty shall do so in its own name, and that such contract expressly states that the Authority or Subsidiary is entering into the contract on its own behalf and not as agent of Her Majesty; and (b) that any subcontract arising directly or indirectly from a contract described in subsection 4.26(a) expressly states that the Authority or Subsidiary, as the case may be, enters into the contract on its own behalf and not as agent of Her Majesty.

4.27 Business Plan. The Authority shall annually submit to the Minister in respect of itself and each of its Subsidiaries, a five year business plan containing such information as the Minister may require, including any material changes in respect of infor- mation provided in the previous business plan.

ARTICLES CODE OF CONDUCT 5.1 The Code of Conduct governing the conduct of the directors and officers is set out in Schedule F hereto. ARTICLE6 GROSS REVENUE CHARGE 6.1 Interpretation. For the purposes of this Article, the following terms shall have the following meanings: (a) "Applicable Tax" means, with respect to a particular Fiscal Year, the aggregate amount of income tax payable by the Authority and Subsidiaries to Her Majesty but excluding any income tax payable by Subsidiaries whose Revenue for such Fiscal Year is a Permitted Exclusion pursuant to subsection 6.l{d)(ii); (impot applicable) (b) "Calculated Gross Revenue" means, for a particular Fiscal Year, the amount determined by subtracting the

4.24 Secretariat. Le CCP comporte une fonction de secretariat composee du premier dirigeant et du secretaire de !'administra-tion; ce demier prepare les proces-verbaux des reunions et des deliberations du CCP. 4.25 Fonctions des administrateurs relativement a la Corpo-ration Place du Canada. Les administrateurs prennent toutes !es mesures necessaires pour veiller a ce que !es administrateurs de la Corporation Place du Canada, nommes par !'administration, soient des candidats approuves par le ministre.

4.26 Fonctions des administrateurs relativement aux contrats. Les administrateurs doivent prendre toutes les mesures neces-saires pour veiller : a) a ce que !'administration et toute filiale de celle-ci qui conclut un contrat, y compris un contrat d'emprunt, autrement qu'a titre de mandataire de Sa Majeste le fassent sous leur propre nom; le contrat doit indiquer expressement que !'administration ou la filiale le conclut pour son propre compte et non a titre de manda-taire de Sa Majeste; b) a ce que tout contrat de sous-traitance resultant directement OU indirectement d'un contrat vise a i'aJi-nea 4.26a) indique expressement que !'administration ou la filiale, selon le cas, a conclu le contrat pour son propre compte et non a titre de mandataire de Sa Majeste.

4.27 Plan d'activites. Tous les ans, !'administration portuaire presente au ministre un plan quinquennal d'activites et celui de chacune de ses filiales, renfermant Jes renseignements que celui-ci peut exiger, notamment Jes changements importants a l'egard des renseignements foumis dans le plan d'activites anterieur.

ARTICLES CODE DE DEONTOLOGIE 5.1 Le code de deontologie regissant la conduite des administra-teurs et dirigeants figure a !'annexe Faux presentes. Le 27 fevrier 1999 Supplement al a Gazette du Canada, Administration portuaire de Vancouver amount equal to the aggregate of the Permitted Exclusions for such Fiscal Year from the Revenue for such Fiscal Year; (revenu brut ca/cule') (c) "Disclosure Statement" has the meaning ascribed to such term in section 6.4; (declaration) (d) "Permitted Exclusions" means: (i) any gains or losses realized by the Authority or a Subsidiary on the sale by the Authority or a Subsidiary of federal real property pursuant to the Federal Real Property Act; (ii) all Revenue of a Subsidiary, other than Canada Place Corporation, provided that: (A) the Subsidiary is subject to pay income tax to Her Majesty on such Revenue; and (B) the Authority has not, at any time, made a Capital Investment in or benefiting the Subsidiary in an amount greater than $1,000 or, if in excess of such amount: (1) such Capital Investment has yielded a Sufficient Return to the Authority for the relevant Fiscal Year; or (2) the Authority and the Subsidiary are in compliance with such terms and conditions, including any related to financial return, imposed by the Minister at the time the Capital Investment in or benefiting such Subsidiary was made; and (iii) the aggregate amount of all reasonable allowances and write-offs of receivables which have been determined by the Authority within the particular Fiscal Year not to be collectible or likely to be collectible provided such determination is made in accordance with GAAP. (exclusions autorisees) (e) "Revenue" means the aggregate amount of all revenue recognized by the Authority and all Subsidiaries in accordance with GAAP. (revenu)

6.2 Calculation of Gross Revenue Charge. The Authority shall annually pay to the Minister a charge (the "Gross Revenue Charge") to maintain the Letters Patent in good standing equal to the aggregate of the following amounts: (a) 2% of the first $10,000,000 of Calculated Gross Revenue for the Fiscal Year to which the charge relates; (b) 4% of the amount of any Calculated Gross Revenue between $10,000,001 and $20,000,000 for the Fiscal Year to which the charge relates; (c) 6% of the amount of any Calculated Gross Revenue between $20,000,001 and $60,000,000 for the Fiscal Year to which the charge relates; (d) 4% of the amount of any Calculated Gross Revenue between $60,000,001 and $70,000,000 for the Fiscal Year to which the charge relates; and (e) 2% of the amount of any Calculated Gross Revenue in excess of $70,000,001 for the Fiscal Year to which the charge relates; less Applicable Tax for the Fiscal Year to which the charge relates. 6.3 Payment of Gross Revenue Charge. The Authority shall pay the Gross Revenue Charge for each Fiscal Year to the Minister no later than 90 days from the end of each Fiscal Year.

6.2 Calcul des frais sur Jes revenus bruts. The Authority shall include with every Gross Revenue Charge payment a disclosure statement (the "Disclosure Statement") in the fonn prescribed by the Minister from time to time setting forth, inter a/ia, an itemized list of the sources of revenue comprising the Gross Revenue and Pennitted Exclusions.

6.5 Acceptance of Payment by Minister. The acceptance by the Minister of any Gross Revenue Charge payment made hereunder or the issuance of a certificate of good standing pursuant to sec- tion 6.10 in respect of such payment shall not preclude the Minis- ter from disputing the calculation, inclusion or omission of any item in connection with the calculation of such Gross Revenue Charge and adjusting the amount of the Gross Revenue Charge payable by the Authority in a particular Fiscal Year pursuant to section 6.7. 6.6 Audit and Inspection. In addition to any disclosure required under the Act in connection with a special examination respecting the Authority, the Minister shall be entitled at any time to review the books, records, systems and practices of the Authority and Subsidiaries and take copies and extracts from the books and records of the Authority and Subsidiaries for the purposes of veri- fying the information contained in the disclosure statement pro- vided by the Authority and Subsidiaries to the Minister pursuant to section 6.4. The Authority and Subsidiaries shall furnish to the Minister all infonnation in its possession or to which it is entitled to possession that may be required by the Minister in connection with an audit and inspection by the Minister.

6.7 Adjustment of Gross Revenue Charge. If an audit and in- vestigation conducted pursuant to section 6.6 or a review by the Minister of the Disclosure Statement discloses a difference be- tween the amount which in the Minister's opinion should have been paid by the Authority as Gross Revenue Charge for a par- ticular Fiscal Year and the amount actually paid by the Authority for such Fiscal Year the Minister may readjust the Gross Revenue Charge payable by the Authority for such Fiscal Year. In the event that the readjustment results in the Authority paying a fur- ther amount to the Minister in respect of the Gross Revenue Charge for a particular Fiscal Year, the Minister shall invoice the Authority for such amount. The Authority shall pay the Minister the invoiced amount together with all interest accrued thereon on or before 30 days following the date of receipt of the invoice. 6.8 Set-Off. The Minister shall be entitled to set-off any amount owing to Her Majesty by the Authority against any payment ow- ing to the Authority by the Minister in accordance with the pro- visions of the Financial Administration Act. If an audit, investi- gation or review by the Minister contemplated by section 6.7 discloses amounts owed by the Minister to the Authority, the Authority shall be entitled to set-off such amount against any payment owed to the Minister by the Authority. 6.9 Interest on Outstanding Amounts. Interest shall accrue an- nually on any outstanding balance owing to the Minister in re- spect of a Gross Revenue Charge payment or any payment to be made by the Authority or the Minister in connection with a read- justment of a Gross Revenue Charge payment, at the interest rate equal to the prime rate of interest established by the Bank of Can- ada from time to time plus 2%. 6.10 Certificate of Good Standing. Forthwith, upon receipt from the Authority of the full amount of the Gross Revenue Charge for a particular Fiscal Year, the Minister shall issue to the Authority a certificate of good standing in a form to be determined by the Minister confirming that the Letters Patent are in good standing as of the date of the certificate. Provided there are no amounts owing to the Minister by the Authority under this Article 6, in- cluding any amounts owed pursuant to an adjustment of the Gross Revenue Charge under section 6.7, the Minister shall, upon

6. 7 Rajustement des frats sur les revenus bruts. ARTICLE7 ACTIVITIES AND POWERS OF THE AUTHORITY AND SUBSIDIARIES 7.1 Activities of the Authority Related to Certain Port Opera- tions. To operate the port, the Authority may undertake the port activities referred to in paragraph 28(2)(a) of the Act to the extent specified below: (a) development, application, enforcement and amendment of rules, orders, bylaws, practices or procedures and issuance and administration of authorizations respecting use, occupancy or operation of the port and enforcement of Regulations or making of Regulations pursuant to section 63(2) of the Act; (b) creation, imposition, collection, remission or reim- bursement or other fixing or acceptance of fees or charges authorized by the Act including the fixing of the interest rate that the Authority charges on overdue fees; (c) management, leasing or licensing the federal real property described in Schedule B or described as federal real property in any supplementary letters patent, subject to the restrictions contemplated in section 8. l and 8.3 and provided such management, leasing or licensing is for, or in connection with, the following: (i) those activities described in sections 7.l and 7.3; (ii) those activities d1;scribed in section 7.4 provided such activities are carried on by Subsidiaries or other third parties pursuant to leasing or licensing arrangements; (iii) the following uses to the extent such uses are not described as activities in sections 7.1, 7.3 or 7.4: (A) uses related to shipping, navigation, trans- portation of passengers and goods, handling of goods and storage of goods, including the following activities to or for users of the port in connection with their use of the port and its facilities: marine and marina services, towing vessels, research services or facilities, ferry operations and movement of utilities; (B) provision of municipal services or facilities in connection with such federal real property, public parks and recreation and social services; (C) media productions; and (D) government sponsored economic develop­ment initiatives approved by Treasury Board, provided such uses are carried on by Subsidiaries or other third parties pursuant to leasing or licensing arrangements; (d) exchanging federal real property described in Schedule B or described as federal real property in any supplementary letters patent for other real property of comparable market value subject to the issuance of supplementary letters patent that describe the other real property as federal real property;

14 Supplement to the Canada Gazette, Vancouver Port Authority (e) granting over federal real property described in Schedule B or described as federal real property in any supplementary letters patent, road allowances or easements, rights of way or licences for utilities, service or access; (j) mortgaging, pledging or otherwise creating a security interest in any fixture on federal real property described in Schedule B or as federal real property in any supplementary letters patent provided that: (i) such mortgage, pledge or other security interest charges only the fixture or fixtures which is acquired, built, restored, enhanced or replaced with proceeds received by the Authority and secured by such mortgage, pledge or other security interest; and (ii) the party receiving such mortgage, pledge or other security interest agrees that upon the exercise of the right to remove such fixture from the federal real property such exercise shall be conducted in a manner that causes no greater damage or injury to such federal real property and to the other property situated on it or that puts the occupier of the federal real property or the Authority to no greater inconvenience than is necessarily inci- dental to the removal of the fixture; (g) disposition of any fixtures on federal real property described in Schedule B or as federal real property in any supplementary letters patent whether by way of removal, demolition, sale, lease, license or exchange; (h) construction, establishment, repair, maintenance, operation, removal or demolition of: (i) disposal sites for carrying out the activities contemplated by section 7.l(J)(ii); (ii) berths, wharfs, anchorages, breakwaters, water- ways, or fill sites; (iii) facilities or equipment for finish or assembly work incidental to the handling or shipping of goods; (iv) transportation, terminal, warehousing and port facilities or equipment; or (v) office premises to be utilized by the Authority or Canada Place Corporation in the conduct of their activities; within the port or for users of the port in connection with their use of the port and its facilities; (i) operation or maintenance of a seaport, marina, floatplane airport, heliport, bus depot or railway: (i) within the port; or (ii) within or between the municipalities named in section 4.6(b) of these Letters Patent if for users of the port in connection with their use of the port and its facilities; (J) the provision of services or carrying out of activities within the port or to or for users of the port in connection with their use of the port and its facilities as follows: (i) environmental assessment, audit, remediation, re- habilitation of marine habitat or other services; (ii) waste and dredgeate disposal (except that con- taminated waste and dredgeate disposal services can be provided only for users of the port in connection with their use of the port and its facilities);

Le 27 fevrier 1999 Supplement al a Gazette du Canada, Administration portuaire de Vancouver (iii) navigational services and aids; (iv) stevedoring services; (v) building, design, maintenance, engineering, repair and operation of vessels owned by the Authority or leased by the Authority from third parties; (vi) emergency planning and response; (vii) vehicle parking, control or marshalling facilities; (viii) manufacture or redistribution of utilities, includ- ing communication facilities, and telecommuni- cation services; (ix) multi-modal facilities and services; (x) transport services within the port or, within or between the municipalities named in section 4.6(b) of these Letters Patent, to provide access to or from the port and its facilities; (xi) providing information and information technol- ogy to users of the port; (xii) salvage and seizure; (xiii) warehousing and distribution of goods and services; (xiv) security services and dispatching services; (xv) harbour patrol services for the navigable waters of the port; and (xvi) providing expertise in connection with software or know-how developed in the course of conduct- ing the activities described in the provisions of this section 7.1; (k) undertaking research and development related to the activities described in this section 7.1; (!) promoting, marketing, and undertaking public or governmental relations to promote use of the port; (m) producing, co-ordinating, sponsoring and hosting of public or civic events; (n) in pursuing or exercising the remedies available to it as lessor or licensor of premises on federal real property described in Schedule B or described as federal real property in any supplementary letters patent, the conduct of any business or activity from such premises; ( o) operation of restaurants, bars, retail, office, display and trade shows, entertainment activities, tour operations and similar tourism-related activities, provided that all the foregoing activities are related to the activities described in this section 7.1, and further provided that, where the Authority is to carry on such an activity, the Board has determined by resolution that: (i) it is not practicable to carry on such an activity pursuant to leasing or licensing arrangements; or (ii) while practicable, the Board has determined that it is not in the best interests of the Authority, having regard to the objectives set forth in section 4 of the Act, to carry on such an activity pursuant to leasing or licensing arrangements; and (p) carrying on activities described in Article 7.1 on real property other than federal real property described in Schedule C or described as real property other than federal real property in any supplementary letters patent, provided that in conducting such activities the Authority shall not enter into or participate in any commitment, agreement or other arrangement whereby the Authority is li- able jointly or jointly and severally with any other person for any debt, obligation, claim or liability.

15 j) foumiture des services suivants, OU execution des activites suivantes, dans le perimetre du port ou aux utilisateurs du port OU pour ceux-ci, relativement a Jeur utilisation du port et de ses installations : (i) services d'evaluation, de verification et d'assai-nissement environnementaux, de rehabilitation du milieu marin ou autres services; (ii) enlevement des dechets et des deblais de dragage (sauf que Jes services d'elimination des dechets contamines et des deblais de dragage peuvent etre offerts uniquement aux utilisateurs du port dans le cadre de l'utilisation qu'ils font du port et de ses installations); (iii) services et aides al a navigation; (iv) services d'arrimage; (v) construction, conception, entretien, mecanique, reparation et exploitation de navires que possede ou que loue !'administration aupres de tiers; (vi) planification et intervention d'urgence; (vii) stationnements, installations de controle ou de triage; (viii) production ou redistribution des services publics, y compris Jes installations de communication et de telecommunication; (ix) installations et services multimodaux; (x) services de transport dans le perimetre du port ou dans les limites des municipalites mentionnees a l'alinea 4.6b) des presentes lettres patentes, a destination ou en provenance du port et de ses installations; (xi) foumiture de services d'information et d'infor-matique aux utilisateurs du port; (xii) sauvetage et saisie; (xiii) entreposage et distribution de biens et services; (xiv) services de surete et de repartition; (xv) service de patrouille portuaire pour les eaux navi­gables du port; (xvi) foumiture d'expertise relativement a des logiciels ou du savoir-faire mis au point dans le cadre des activites decrites dans les dispositions du present paragraphe 7.1; k) recherche et developpement lies aux activites decrites dans Jes dispositions du present paragraphe 7. 1; l) promotion, marketing, relations publiques ou gouveme-mentales pour promouvoir I 'utilisation du port; m) production, coordination, parrainage et accueil d'eve-nements publics et civils; n) dans l'exercice des recours qu'elle a en sa qualite de Iocateur OU de concedant des lieux sur des immeubles federaux decrits a !'annexe B OU dans des lettres patentes supptementaires comme etant des immeubles federaux, execution de toute activite depuis ces lieux ou utilisation de ces lieux; o) exploitation de restaurants, de bars, de commerces au detail, de bureaux, de presentations et de salons professionnels, d'activites de divertissement, d'entre-prises de voyage ou d'excursions et des activites liees au tourisme semblables, a condition que toutes les activites susmentionnees soient liees aux activites decrites au present paragraphe 7 .1, et que, lorsque l' administration doit exercer cette activite, le conseil ait decide, par resolution (i) que l'exercice de cette activite n'est pas faisable au moyen d'arrangements de location ou de

7.2 Activities of Canada Place Corporation. Canada Place Corporation is authorized to carry on the following activities: (a) management, leasing or licensing the federal real property described under Canada Place Corporation in Schedule B for the following tenant uses: hotels, restaurants, bars, tour operations, travel or tour agencies and similar tourism-related uses, retail, office, enter- tainment activities, food services and display and trade shows; (b) manufacturing and distributing steam and other utilities; (c) management of assets and property, including the maintenance and repair of any building or structure located on the federal real property described in Schedule B or described as federal real property in any supplementary letters patent; (d) producing, co-ordinating, sponsoring and hosting of public or civic events; and (e) promotion, marketing and undertaking of public relations in connection with Canada Place or the port.

7.3 Activities of the Authority Necessary to Support Port Op- erations. To operate the port, the Authority may undertake the following activities which are deemed necessary to support port operations pursuant to paragraph 28(2)(b) of the Act: (a) subject to the provisions of Article 9 below: (i) borrowing money upon the credit of the Authority; (ii) limiting or increasing the amount to be borrowed; (iii) issuing bonds, debentures or other securities of the Authority; (iv) pledging or selling such bonds, debentures or other securities for such sums and at such prices as may be deemed expedient; (v) securing any such bonds, debentures or other se- curities, or any other present or future borrowing or liability of the Authority, by mortgage, charge, pledge or other security interest relating to all or any currently owned or subsequently acquired real and personal, movable and immovable, property and leasehold interests and reversionary interests of the Authority, and the undertaking and rights of the Authority; provided, however, that the Authority may not mortgage, hypothecate, pledge or otherwise create a security interest in federal real property described in Schedule B or as fed- eral real property in any supplementary letters patent other than to:

7.3 Activites necessaires aux operations portuaires. Le 27fevrier1999 Supplement al a Gazette du Canada, Administration portuaire de Vancouver (A) pledge the revenues of the federal real prop- erty described in Schedule B or as federal real property in any supplementary letters patent; or (B) create, pursuant to the exercise of the pow- ers of the Authority contemplated by sec- tion 7.l(j), a mortgage, pledge or other security interest in fixtures on federal real property described in Schedule B or as fed- eral real property in any supplementary let- ters patent; and (vi) issuing a Permitted Indemnity or Guarantee, pro- vided that the cumulative amount of all such Permitted Indemnities or Guarantees shall at no time exceed one-tenth of the aggregate Borrowing maximum amount specified in section 9.2; provided that any contract, bond, debenture or financial assistance related to such borrowing, issuance, pledging or securing shall contain a covenant, proviso or ac- knowledgement from the lender or counterparty that the lender or counterparty shall have no recourse against Her Majesty or any assets of Her Majesty; (b) acquisition or disposition of real property other than federal real property subject to the issuance of supple- mentary letters patent; (c) acquisition of real property from Her Majesty subject to the issuance of supplementary letters patent describing such property as real property other than federal real property; (d) occupying or holding real property other than federal real property; (e) granting over real property other than federal real prop- erty road allowances or easements, rights of way or li- cences for utilities, service or access; (j) renting equipment; (g) developing, leasing or licensing real property other than federal real property, for, or in connection with the ac- tivities described in this Article 7; (h) carrying on activities described in section 7.3 on federal real property described in Schedule B or described as federal real property in any supplementary letters patent or on real property other than federal real property de- scribed in Schedule C or described as real property other than federal real property in any supplementary letters patent; (i) acquisition, disposition, holding, leasing or licensing of personal property; (j) investing moneys in the Authority's reserves or that it does not immediately require subject to the provisions of the Act, the Regulations and these Letters Patent; (k) incorporate a corporation all of whose shares on incor- poration would be held by, on behalf of or in trust for the Authority provided that the Authority does not, at any time, make a Capital Investment in a Subsidiary such that the Authority's cumulative Capital Investment in all Subsidiaries exceeds an amount equal to: (i) 50% of the net income of the Authority as shown in the last annual audited financial statements of the Authority submitted to the Minister prior to the making of such Capital Investment, before deducting from such net income the amounts shown in such statements for depreciation and/or amortization and excluding extraordinary items; or

18 Supplement to the Canada Gazette, Vancouver Port Authority (ii) if such statements have not yet been submitted, then 50% of the net income of the predecessor of the Authority as shown in the financial statements included in the last annual report of such prede- cessor submitted to the Minister prior to the making of such Capital Investment, before de- ducting from such net income the amounts shown in such statements for depreciation and/or amorti- zation and excluding extraordinary items; and (/) in pursuing or exercising the remedies available to it as lessor or licensor of premises on real property other than federal real property described in Schedule C or de- scribed as real property other than federal real property in any supplementary letters patent, the conduct of any business or activity from such premises.

7.4 Activities of Subsidiaries Necessary to Support Port Operations. A Subsidiary other than Canada Place Corporation may undertake the following activities which are deemed neces- sary to support port operations pursuant to paragraph 28(2)(b) of the Act: (a) borrowing money on the credit ofa Subsidiary; (b) limiting or increasing the amount to be so borrowed; (c) issuing bonds, debentures or other securities of the Subsidiary; (d) pledging or selling such bonds, debentures or other se- curities for such sums and at such prices as may be deemed expedient; (e) securing any bonds, debentures or other securities, or any other present or future borrowing or liability of the Subsidiary, by mortgage, charge, pledge or other secu- rity interest relating .to all or any currently owned or subsequently acquired real and personal, moveable and immovable property and leasehold interests and rever- sionary interests of the Subsidiary and the undertaking and rights of the Subsidiary; (j) participating as a partner, shareholder or co-venturer in a partnership, corporation, joint venture or similar arrangement in connection with the activities outlined in this section 7 .4 and pledging, selling or securing such participation, interest or investment by mortgage, charge, pledge or other security interest; (g) providing expertise to third parties for use outside the boundaries of the port in connection with software or know-how developed in carrying out the activities specified in section 7. l (i)(xvi); (h) acquisition, disposition, occupying, holding, develop- ing, leasing or licensing, real property other than federal real property, for, or in connection with, the activities described in this Article 7; (i) carrying on activities described in section 7.4 on real property other than federal real property; (j) leasing or licensing real property from the Authority for, or in connection with, the activities described in sec- tion 7.4; (k) operation of freight forwarding, consolidating, trading or brokerage facilities or services and warehousing, storage and handling of cargo, freight and goods outside the port or in connection with persons who are not users of the port; (/) operation dry dock facilities;

Une filiale autre que la Corporation Place du Canada peut se li-vrer aux activites suivantes jugees necessaires aux operations portuaires conformement a l'alinea 28(2)b) de la Loi : a) emprunt de fonds sur son credit; b) limitation OU augmentation du montant a emprunter; c) emission d'obligations, de bons OU d'autres titres de creance de la filiale; d) fait de donner en gage ou de vendre ces obligations, bons ou autres titres de creance pour !es montants et Jes prix juges opportuns; e) fait de garantir les obligations, bons ou autres titres de creance, ou autre emprunt ou obligation present ou futur de la filiale au moyen d'hypotheque, de charge, nantis-sement ou autre surete visant tout ou partie des biens meubles et immeubles, les interets a bail et Jes interets reversifs, qu'elle possede actuellement ou dont elle fait !'acquisition ulterieurement, et !'engagement et !es droits de la filiale; j) participation a titre d'associe, d'actionnaire OU de parte-naire dans une societe de personnes, une societe, une coentreprise ou autre arrangement lie aux activites men-tionnees dans le present paragraphe 7.4 et fait de donner en gage, de vendre ou de garantir cette participation, cet interet ou investissement au moyen d'hypotheque, de charge, nantissement ou autre sfirete; g) fourniture d'expertise a des tiers pour utilisation a l'exterieur du perimetre du port, relativement a des lo-giciels ou du savoir-faire mis au point conformement a l'exercice des activites prevues au sous-alinea 7.lJ)(xvi); h) acquisition, alienation, occupation, conservation, deve-loppement, location, OCtroi OU obtention de permis a l'egard d'irnmeubles autres que des immeubles federaux dans le cadre des activites decrites au present article 7; i) execution d'activites decrites au paragraphe 7.4 sur des immeubles autres que des immeubles federaux; J) location ou obtention de permis visant des immeu­bles de !'administration pour les activites decrites au paragraphe 7.4; k) exploitation d'installations ou de services de transit, de groupage, d'echange ou de courtage, et d'entreposage, de stockage et de manutention des cargaisons et des marchandises, a J'exterieur du port OU a !'intention d'un groupe de personnes qui ne sont pas des utilisateurs du port;

Le 27 fevrier 1999 Supplement al a Gazette du Canada, Administration portuaire de Vancouver (m) acquisition, disposition, holding, leasing or licensing of personal property; (n) operation of restaurants, bars, retail, office, display, trade shows, and carry on entertainment activities, travel or tour operations and similar tourism-related activities, provided that all the foregoing activities are not related to activities described in sections 7.1or7.2; (o) carrying out of the activities including the provision of services as follows: (i) environmental assessment, audit, remediation or other services; (ii) navigational services and aids; (iii) dispatching services; (iv) building, design, maintenance, engineering, repair and operation of vessels; (v) emergency planning and response; (vi) vehicle parking, control or marshalling facilities; and (vii) multi-modal facilities and services, outside the port or in connection with persons who are not users of the port; and (p) in pursuing or exercising the remedies available to it as lessor or licensor of premises on real property other than federal real property described in Schedule C or de- scribed as real property other than federal real property in any supplementary letters patent, the conduct of any business or activity from such premises.

7 .5 Powers of the Authority and Subsidiaries. The Authority has the power to carry out the activities specified in sections 7.1 and 7.3. Canada Place Corporation has the power to carry out the activities specified in section 7.2 and the Subsidiaries have the power to carry out the activities specified in section 7.4.

ARTICLES LEASING AND CONTRACTING 8.1 Restriction on Leasing and Licensing. The Authority shall not grant a lease or licence of federal real property described in Schedule B or as federal real property in any supplementary let- ters patent for a term in excess of 60 years where such lease or licence is granted pursuant to sections 7.l(c)(i), 7.l(c)(iii)(A) or 7.l(c)(iii)(B) or for a tenn in excess of 40 years where such lease or licence is granted pursuant to sections 7.l(c)(ii), 7.l(c)(iii)(C) or 7. 1 (c )(iii)(D) provided however that: (a) with the written consent of the Minister the Authority may lease or license such federal real property for a maximum tenn of99 years; and (b) nothing contained in this section shall restrict the ability of the Authority or a Subsidiary to grant a road allow- ance, easement, right of way or licence for utilities, services or access for any term.

8.2 Calculation of Term of Lease or Licence. For the purpose of section 8.1, "term" shall mean, in relation to a lease or licence, the sum of:

7.5 Pouvoirs de l'administration et des filiales. L'administra-tion a taus Jes pouvoirs de se livrer aux activites prevues aux pa-ragraphes 7. I et 7.3. La Corporation Place du Canada a to us Jes pouvoirs de se livrer aux activites prevues au paragraphe 7 .2 et Jes filiales ont taus Jes pouvoirs de se livrer aux activites prevues au paragraphe 7.4.

ARTICLES BAUX ET CONTRATS 8.1 Restrictions sur les baux et les permis. L'administration ne doit pas louer les immeubles federaux decrits a !'annexe B OU dans des lettres patentes supplementaires comme etant des immeubles federaux OU octroyer des permis a Jeur egard pour une duree superieure a 60 ans, lorsque ces baux ou pennis sont octroyes en vertu du sous-alinea 7.lc)(i) ou des divi­sions 7.Ic)(iii)(A) ou 7.lc)(iii)(B), ou pour une duree superieure a 40 ans lorsque ces baux ou pennis sont octroyes en vertu du sous-alinea 7.lc)(ii) ou des divisions 7.lc)(iii)(C) ou 7.lc)(iii)(D), sous reserve que a) avec l'autorisation ecrite du ministre, !'administration peut consentir un bail ou un permis a l'e gard de ces immeubles federaux pour une duree maximale de 99 ans; b) rien dans le present article ne limite la capacite de !'administration OU de Ja fiJiaJe de COnsentir a Jeur egard des emprises routieres, des servitudes ou permis pour des droits de passage ou d'acces ou des services publics pour quelque duree que ce soit.

8.2 Calcul de la duree du bail ou du permis. Pour Jes fins du paragraphe 8.1, « duree » signifie, relativement a un bail ou un pennis, la somme :

20 Supplement to the Canada Gazette, Vancouver Port Authority (a) the number of years for which a Jessee or licensee has the right to occupy the demised premises or licensed area; and (b) the maximum number of years not included in the calcu- lation under subsection 8.2(a) that, by the exercise of rights or options to renew or extend the lease or licence agreement, the lessee or licensee may occupy the de- mised premises or licensed area. 8.3 Fair Market Value Requirement. The Authority shall en- sure that every lease or license of federal real property described in Schedule B or as federal real property in any supplementary letters patent to be entered into following the effective date of the Letters Patent pursuant to which the lessees or licensees conduct activities described in sections 7.l(c)(iii)(C), 7.l(c)(iii)(D), 7.3 or 7.4 shall be for not less than fair market value provided, however, that with the written consent of the Minister, the Authority may lease or licence such federal real property for activities described in section 7. l(c)(iii)(D) at less than fair market value. 8.4 Tendering Requirement Respecting Work Contracts. The Authority shall establish and implement a written policy respect- ing the entering into by the Authority of any agreement (a "Work Contract") for the construction, renovation, repair or replacement of a building, structure, facility, work or undertaking, the excava- tion, filling or development of any real property or the provision of materials in connection therewith. Such policy shall set forth: (a) the requirements respecting the publication of a notice or advertisement requesting bids for Work Contracts; (b) the policies and procedures respecting bidding for Work Contracts; (c) the requirement to provide potential bidders for a Work Contract with reasonable access during normal business hours to the proposed work site for the purposes of assessing the site conditions relevant to the performance of the Work Contract; and (d) exceptions to tendering requirements: (i) where there exists only one supplier of the work; (ii) for emergencies; (iii) where the Authority itself performs the work; (iv) where the delay resulting from compliance with formal tendering requirements is reasonably expected to be injurious to the public interest; and (v) for Work Contracts below a specified value. ARTICLE9 BORROWING 9.1 No Borrowing as an Agent. The Authority and any Subsid- iaries may not borrow money as an agent of Her Majesty. Every contract for the borrowing of money shall contain an acknowl- edgement of the lender that it shall have no recourse against Her Majesty or any assets of Her Majesty. 9.2 Restriction on Incurrence of Borrowing. The Authority shall not incur any item of Borrowing so that the aggregate Bor- rowing of the Authority would exceed $225,000,000.

"Borrowing" means the following items for the Authority (adjusted to give effect to the provisions of sec- tion 9.4), without duplication, as follows: (a) all obligations for borrowed money and all obligations evidenced by bonds, debentures, notes, or other similar instruments on which interest charges are customarily paid, recorded in accordance with GAAP; (b) all obligations, contingent or otherwise, relative to the face amount of all letters of credit, whether or not drawn, and bankers' acceptances issued; (c) any obligation as lessee under leases which have been or should be, in accordance with GAAP, recorded as Capitalized Lease Liabilities; (d) all obligations to pay the deferred purchase price of property or services, and indebtedness (excluding prepaid interest thereon) secured by a lien on property owned or being purchased by the Authority (including indebtedness arising under conditional sales or other title retention agreements), whether or not such indebtedness shall have been assumed by the Authority or is limited in recourse and recorded in the financial statements of the Authority and Subsidiaries for the most recently completed Fiscal Year; (e) accrued contingent losses reflected as a charge to income in accordance with GAAP and recorded in the financial statements of the Authority and Subsidiaries for the most recently completed Fiscal Year; (j) all Contingent Liabilities of the Authority in respect of any of the foregoing; or (g) the amount of the aggregate potential liability of the Authority pursuant to the terms of a Permitted Indemnity or Guarantee.

9.4 Exclusion of Subsidiaries. In determining the Borrowing pursuant to section 9.3, any amounts pertaining to Subsidiaries carrying on activities contemplated by paragraph 28(2)(b) of the Act shall be excluded. 9.5 Certificate of the Authority. Concurrent with the submission of financial statements to the Minister contemplated by subsec- tion 37(4) of the Act, the Authority shall deliver to the Minister a certificate executed by the chief executive officer of the Authority stating: (a) the amount of the aggregate Borrowing of the Authority at the end of the Fiscal Year to which such financial statements relate; (b) that the Authority is not in default or has not committed an event of default under any of the terms of its Borrowing except those which it is contesting in good faith or if such default or event of default exists, the particulars thereof; (c) that since the date of the last certificate provided hereunder the Authority has not been served with written notice of any Significant Legal Proceedings or, if the Authority has been served, particulars of such legal proceedings; (d) if any Capital Investment in a Subsidiary has been made by the Authority during the Fiscal Year to which such financial statements relate, the amount of such Capital Investment, the annual rate of return necessary for such Capital Investments to yield a Sufficient Return and the

provided that the Authority may satisfy its obligations pursuant to this section through delivery to the Minister a copy of the letter delivered to the auditor of the Authority in connection with the annual audit of the financial statements of the Authority which contains substantially the same infonnation as contemplated by this section. ARTICLE 10 SUBSIDIARIES 10.1 Directors' Obligations Respecting Subsidiaries. The direc- tors shall take all necessary measures to ensure that every Subsidiary: (a) has and exercises only the powers authorized in the Letters Patent; (b) carries on only the activities authorized in the Letters Patent; and (c) does not exercise any power or carry on any activity in a manner contrary to the Letters Patent or the Act. 10.2 Constating Documents of Subsidiary. The constating documents of every Subsidiary other than Canada Place Corpora- tion shall state that the Subsidiary cannot exercise any power as an agent of Her Majesty.

10.3 Use of Property and Employees. Prior to a Subsidiary utilizing the property, services, facilities or employees of the Authority in connection with the Subsidiary's activities or vice versa, the Subsidiary and Authority shall enter into a written a bien ses propres activites ou J'inverse, agreement whereby the recipient covenants to pay fair market value for use of such property, services, facilities or employees.

10.4 Mandatory Standby Fee. Every Subsidiary shall pay and the Authority shall collect from each Subsidiary a one-time guar- antee standby fee for each Pennitted Indemnity or Guarantee given by or on behalf of the Authority which fee shall be in an amount not less than one-half of one percent of the maximum dollar amount of such Pennitted Indemnity or Guarantee given by the Authority.

10.5 Prohibition on Indemnities. Other than Pennitted Guaran- tees or Indemnities, no guarantee, indemnity or other agreement or commitment may be given by or on behalf of the Authority for the discharge of an obligation or liability of a Subsidiary, whether such obligation or liability be contingent or otherwise.

ARTICLE 11 FEDERAL OBLIGATIONS 11.1 International and Provincial Obligations. The Authority shall comply with all obligations applicable to the Authority arising under any international agreement, convention or ar- rangement, or any federal-provincial agreement, including: (a) Agreement on Internal Trade;

Chaque filiale devra verser un droit d'usage unique que percevra !'administration pour chaque indemnite ou garantie autorisee accordee par l'administration ou en son nom. 10.5 Interdiction d'indemnites. The Authority and Canada Place Corpo- ration shall: (a) in the case of the Authority, display the Canadian flag prominently at the port, and in the case of Canada Place Corporation, display the Canadian flag prominently at Canada Place; (b) in the case of the Authority, display the "Canada" workmark on a prominent building at the port, and, in the case of Canada Place Corporation, display the "Canada" wordmark on a prominent building at Canada Place; and (c) each apply the "Canada" wordmark prominently on all their respective identity applications. 11.3 Emergency Preparedness. The Authority shall, at the re- quest of the Minister and in accordance with applicable policies established by Her Majesty from time to time, provide all the support required by the Minister to fulfil the responsibilities of the Minister under the Emergency Preparedness Act, R.S.C. 1985, C. 6 (4th Supp.) with respect to the port. ARTICLE 12 BY-LAWS 12.1 By-Laws. The directors of the Authority may, by resolution, make, amend or repeal by-laws that regulate the affairs of the Authority or the duties of officers and employees. PAR LE MINISTRE DES TRANSPORTS A TTENDU QUE des Lettres patentes ont ete delivrees par le ministre des Transports a I' Administration portuaire de Vancou­ver ( « Administration ») en vertu des pouvoirs prevus dans la Loi maritime du Canada, prenant effet le 1e r mars 1999;

A TTENDU QUE I' Administration a demande la delivrance de Lettres patentes supplementaires pour remplacer le paragra­phe 2.2 des Lettres patentes et changer I' adresse municipale du siege social de I' Administration; A CES CAUSES en vertu de !'article 9 de la Loi maritime du Canada, les Lettres patentes soot modifiees en rempla~ant le pa-ragraphe 2.2 par ce qui suit : 2.2 Siege social de I'A dministration. Le siege social de I' Administration est situe au 100, The Pointe, 999, Canada Place, Vancouver (Colombie-Britannique) V6C 3T4. DELIVREES sous mon seing et en vigueur le 14° jour de janvier, 2005.
