SUPPLEMENTARY AFFIDAVIT OF WILLIAM T. STANBURY

I, William T. Stanbury, of the City of Vancouver, in the Province of British Columbia in Canada MAKE OATH AND SAY AS FOLLOWS:

1. I am the UPS Foundation Professor of Regulation and Competition Policy in the Faculty of Commerce and Business Administration in the University of British Columbia and have been retained by the Director of Investigation and Research, Consumer and Corporate Affairs - Canada, to provide my

- 2 ­opinion on effects on competition in the Atlantic region resulting from the merger of Imperial Oil Limited with Texaco Canada Inc., and on the efficacy of the Draft Consent Order submitted to the Competition Tribunal.

2. This affidavit is supplementary to my affidavit dated the 20th day of July, 1989, and is intended to clarify certain points contained in Exhibit "A" of that affidavit. This affidavit does not affect the conclusions set out in my earlier affidavit.

3. With regard to paragraph 14(a) on page 4 of Exhibit "A", I now understand that Shell has one terminal in the Atlantic region.

4. With regard to paragraph 27 on page 9 of Exhibit "A", the figure of 4.3 cents/litre in Nova Scotia should read 4.6 cents/litre.

5. With regard to Table 3 on page 13 of Exhibit"A", the source of information consisted of company submissions as well as National Energy Board data.
